1. Acceptance of Terms

By accessing and using LeapMed.AI ("the Service," "our Service," or "Platform"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, please do not use the Service.

2. Service Description

LeapMed.AI is a medical transcription and documentation platform that uses artificial intelligence to assist healthcare professionals in generating clinical notes from voice recordings and transcripts. The Service is provided as a tool to support healthcare documentation and should not be used as a substitute for professional medical judgment.

3. User Responsibilities

You agree to:

• Provide accurate and complete information during registration
• Maintain the confidentiality of your account credentials
• Use the Service in compliance with all applicable laws and regulations, including HIPAA
• Review and verify all AI-generated content before clinical use
• Not share your account with others
• Notify us immediately of any unauthorized access to your account

4. HIPAA Compliance and Data Security

We take data security and HIPAA compliance seriously. Our infrastructure includes:

• HIPAA-Compliant Hosting: Our application and database are hosted on HIPAA-compliant AWS servers
• AI Processing: We use OpenAI models via Microsoft Azure containers in a HIPAA-compliant manner
• Transcription Services: Voice transcription is performed using Deepgram, a HIPAA-compliant transcription service
• Automatic Data Deletion: All notes and transcripts are automatically deleted after 5 days for additional security
• Business Associate Agreements (BAAs): BAAs are available upon request for covered entities

While we implement industry-standard security measures, you acknowledge that the transmission of data over the internet carries inherent risks and we cannot guarantee absolute security.

5. Data Privacy and Retention

• We do NOT share your data with any third parties except as required for service functionality (AWS, Microsoft Azure, Deepgram)
• We do NOT use your transcripts or generated notes to train any AI models
• We do NOT retain any clinical data beyond the 5-day automatic deletion period
• Your data is processed by third-party service providers (AWS, Microsoft Azure, Deepgram) who are responsible for their own data protection measures

6. Limitation of Liability

IMPORTANT NOTICE:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEAPMED.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal or medical information stored therein
• Any errors, inaccuracies, or omissions in AI-generated content
• Any clinical decisions made based on content generated by the Service
• Any interruption or cessation of the Service
• Any bugs, viruses, or other harmful code transmitted through the Service

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. ALL AI-GENERATED CONTENT MUST BE REVIEWED AND VERIFIED BY QUALIFIED HEALTHCARE PROFESSIONALS BEFORE CLINICAL USE.

7. Medical Disclaimer

The Service is a documentation tool only and does not provide medical advice, diagnosis, or treatment. AI-generated content should be considered as suggestions that require review and verification by qualified healthcare professionals. You are solely responsible for all clinical decisions and documentation accuracy.

8. Third-Party Service Providers

Our Service relies on third-party providers for infrastructure and functionality. These providers are responsible for their own data protection and security measures:

• Amazon Web Services (AWS): HIPAA-compliant cloud hosting
• Microsoft Azure: HIPAA-compliant AI model hosting
• Deepgram: HIPAA-compliant transcription services

We maintain Business Associate Agreements with these providers. However, we are not liable for any breaches or failures on the part of these third-party service providers.

9. Indemnification

You agree to indemnify, defend, and hold harmless LeapMed.AI, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any clinical decisions or actions taken based on content generated by the Service.

10. Intellectual Property

The Service and its original content, features, and functionality are owned by LeapMed.AI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

11. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service at any time without notice or liability. We may also modify these Terms at any time, and such modifications shall be effective immediately upon posting.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
